Terms and Conditions for Amplify Arsenal, L.L.C Services

1. Acceptance of Terms

By engaging the services of Amplify Arsenal, L.L.C., you agree to be bound by these Terms and Conditions. These terms may be updated from time to time without prior notice.

2. Services Provided

Amplify Arsenal, L.L.C. agrees to provide digital marketing services as outlined in the agreed-upon proposal or statement of work. Services may include but are not limited to reputation management, message marketing, referral generation, and search engine optimization (SE0).

3. Client Responsibilities

The client agrees to provide Amplify Arsenal, L.L.C. with access to all necessary materials, accounts, and information required for the successful execution of the digital marketing services. The client is responsible for the accuracy and legality of all materials provided.

4. Payment Terms

Payment terms will be outlined in the proposal or statement of work. Invoices are to be paid within an agreed upon deadline. Failure to make timely payments may result in suspension of services. Late payments may incur interest charges at 10% per month.

5. Confidentiality

Both parties agree to keep all confidential information shared during the course of the engagement confidential. This includes but is not limited to business strategies, financial information, and proprietary data.

6. Intellectual Property

All intellectual property developed or provided by Amplify Arsenal, L.L.C. during the engagement, including but not limited to designs, content, and marketing materials, shall remain the property of Amplify Arsenal, L.L.C unless otherwise agreed upon in writing.

7. Termination of Services

Either party may terminate the services with a written notice via electronic communication and within reason. Termination fees may apply, and all outstanding payments must be settled upon termination.

8. Liability

Amplify Arsenal, L.L.C. is not liable for any losses or damages resulting from the use of its services. The client is responsible for reviewing all content and materials before publication.

9. Force Majeure

Neither party shall be held responsible for any delays or failures in performance due to circumstances beyond their control, including but not limited to acts of God, natural disasters, and government actions.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Louisiana. Any disputes arising out of or in connection with these terms shall be subject to mediation and/or arbitration within the exclusive jurisdiction of Louisiana.

By engaging the services of Amplify Arsenal, L.L.C., you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
