CLIENT AGREEMENT

CLIENT AGREEMENT FOR DIGITAL MARKETING SERVICES PROVIDED BY AMPLIFY ARSENAL, L.L.C.

This Agreement ("Agreement") is entered into by and between Amplify Arsenal, L.L.C., hereinafter referred to as the "Agency," and you, hereinafter referred to as the "Client."

1. Scope of Services

The Agency agrees to provide digital marketing services as outlined in Exhibit A attached hereto (the "Services"). The Client agrees to provide all necessary access, information, and materials required for the provision of these services.

2. Compensation

The Client agrees to pay the Agency the fees specified in Exhibit B attached hereto for the Services rendered. Payment terms are outlined in Exhibit B and are due within 5 days from the date of invoice.

3. Term and Termination

This Agreement shall commence when the Client signs and submits this Agreement, and shall continue until termination. Either party may terminate this Agreement with written notice via an electronic message 7 days prior to the desired termination date.

4. Confidentiality

Both parties agree to keep confidential all information exchanged during the term of this Agreement, including but not limited to trade secrets, business plans, and client data.

5. Ownership of Work

All work produced by the Agency in connection with the Services, including but not limited to creative content, designs, and strategies, shall be the exclusive property of the Client upon full payment of all fees.

5. Indemnification

The Client agrees to indemnify and hold the Agency harmless from any claims, damages, or liabilities arising out of the use of materials provided by the Client or any breach of this Agreement by the Client.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written, relating to the subject matter hereof.

Exhibit A: Scope of Services

The Services provided by the Agency include but are not limited to Reputation Management, Message Marketing, Referral Generation, and Search Engine Optimization.

Exhibit B: Compensation

Most services are billed as a monthly recurring payment. The Client agrees to be billed a monthly recurring payment for the services provided by the Agency. If the Client purchases more than than one service, the Client is billed for the additional services every month until this Agreement is terminated. The payment amount for Services provided by the Agency will be determined during calls, electronic communication, consultations, or meetings between the Client and the Agency. The Client understands that the cost for Services on a monthly basis may be subject to change for reasons including but not limited to discounts, Service packages, and the type of Service.

BY ELECTRONICALLY SIGNING BELOW, I ACKNOWLEDGE AND AGREE TO ALL TERMS STATED HEREIN INCLUSIVE OF ALL ITEMS ON THIS CLIENT AGREEMENT. I ALSO ACKNOWLEDGE AND AGREE TO BOTH AMPLIFY ARSENAL, L.L.C.'s TERMS AND CONDITIONS, AND PRIVACY POLICY.
